OVERVIEW

This website is operated by Xanadu Living.

Throughout these Terms of Service, the terms “Xanadu Living”, “we”, “us” and “our” refer to Xanadu Living, ABN 49 976 329 468.

Xanadu Living operates this website and online store, including the information, content, features, tools, products and services made available through it. These are collectively referred to as the “Services”.

Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer and sell products to you.

These Terms of Service, together with our other policies and any additional terms displayed at checkout or on a product or promotional page, govern your access to and use of the Services.

By visiting our website, creating an account, placing an order or otherwise using the Services, you agree to these Terms of Service and acknowledge our:

Please read these Terms carefully before using the Services. If you do not agree to them, you should not access the website or use the Services.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy provided by the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

SECTION 1 – ELIGIBILITY, ACCESS AND ACCOUNTS

By using the Services, you represent that you are legally capable of entering into a binding agreement or that you are using the Services with the permission and supervision of a parent or legal guardian.

You may browse the website without creating an account. Certain features may require you to create an account or provide information including your name, email address, billing address, delivery address and payment details.

You agree that the information you provide will be accurate, complete and current.

You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • restricting access to your account and devices;
  • notifying us promptly if you believe your account has been accessed without permission; and
  • activity carried out through your account, except to the extent caused by our breach, negligence or failure to take reasonable security measures.

You must not sell, transfer, assign or license your account to another person without our written permission.

We may suspend or restrict access to an account where we reasonably believe that it has been compromised, used fraudulently or used in breach of these Terms.

SECTION 2 – PRODUCTS AND PRODUCT INFORMATION

We sell homewares, furniture, outdoor products, fitness equipment, appliances and other consumer products through our online store.

We take reasonable steps to ensure that product descriptions, images, prices, specifications, availability and other information displayed on the website are accurate. Some product information may be supplied by manufacturers, distributors or fulfilment partners.

Product images are provided for illustrative purposes. The appearance of colours, finishes and materials may vary slightly depending on lighting, photography, manufacturing variations, screen settings and the device used to view the website.

Measurements, weights and dimensions may be approximate unless expressly stated otherwise. Before purchasing furniture, appliances or larger products, you should check the listed dimensions and ensure that the product is suitable for your intended location and can be safely delivered through entrances, hallways, staircases and other access points.

Minor differences that do not materially affect the product’s quality, function or conformity with its description will not necessarily constitute a defect.

Nothing in this section limits your rights where a product is materially different from its description, image, sample or demonstration model, or otherwise fails to comply with the Australian Consumer Law.

We may update product information, discontinue products or limit quantities where reasonably necessary. Changes will not retrospectively affect an order that we have already accepted, except where required to correct an obvious error or comply with law.

SECTION 3 – PRODUCT AVAILABILITY

Product availability may depend on stock held by our warehouses, suppliers and fulfilment partners.

An item shown as available may become unavailable before your order is processed due to stock movements, supplier updates, data errors or simultaneous orders.

If we cannot supply an ordered product, we may:

  • offer a suitable alternative for your approval;
  • place the item on backorder with your agreement;
  • remove the unavailable item from a multi-item order and refund that item; or
  • cancel and refund the affected order.

We will not substitute a materially different product without your approval.

SECTION 4 – ORDERS AND CONTRACT FORMATION

When you submit an order, you are making an offer to purchase the selected products on these Terms.

An automated order confirmation acknowledges that we have received your order. It does not necessarily mean that the order has been accepted.

An order is accepted when we confirm that it has been approved for processing or dispatch, or when the product is dispatched, whichever occurs first.

We may decline or cancel an order before dispatch where there are reasonable grounds to do so, including where:

  • a product is unavailable;
  • there is an obvious pricing, description or technical error;
  • payment has not been authorised or is later reversed;
  • we reasonably suspect fraud, unauthorised payment or unlawful activity;
  • the delivery address is invalid, incomplete or outside our available delivery areas;
  • a supplier or carrier cannot service the delivery address;
  • an order exceeds reasonable quantity restrictions;
  • the order appears to be intended for unauthorised resale; or
  • accepting the order would breach a legal or regulatory requirement.

If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled product or order using the original payment method, unless another method is agreed with you.

We may contact you using the email address or telephone number provided with your order if additional information is required.

SECTION 5 – ORDER CHANGES AND CANCELLATIONS

You should review your order, product selection, quantities, delivery address and contact information carefully before submitting it.

You may request an order change or cancellation by contacting us as soon as possible at contact@xanaduliving.com.au.

We will make reasonable efforts to accommodate the request, but we cannot guarantee that an order can be changed or cancelled after it has entered warehouse processing or been dispatched.

Where an order has already been dispatched, it may need to be handled as a return in accordance with our Refund Policy.

This section does not limit any cancellation or refund right available under the Australian Consumer Law.

SECTION 6 – PRICES, GST AND PAYMENT

Unless otherwise stated:

  • all prices are displayed in Australian dollars;
  • prices include GST where GST is applicable; and
  • delivery charges, remote-area surcharges or other applicable charges will be displayed at checkout or communicated to you before the order is dispatched.

The total price payable will be displayed before you submit your order.

Prices, discounts and promotions may change from time to time. The price applicable to an accepted order will generally be the price displayed when the order was submitted, subject to the correction of an obvious error.

You agree to provide accurate and complete payment and billing information.

By submitting payment details, you represent that:

  • you are authorised to use the selected payment method;
  • the payment information is accurate;
  • the payment provider is authorised to process the transaction; and
  • you will pay all properly disclosed charges associated with the order.

Payment may be processed by Shopify Payments, PayPal or another third-party payment provider. Your use of a payment provider may also be subject to that provider’s terms and privacy practices.

We do not directly store complete payment card details submitted through Shopify or an external payment provider.

SECTION 7 – PRICING AND DESCRIPTION ERRORS

Occasionally, the website may contain typographical errors, technical errors or inaccuracies relating to product descriptions, prices, promotions, shipping charges, availability or delivery estimates.

We may correct an error at any time.

If an obvious error affects an order that has not been accepted, we may correct the information and ask whether you wish to proceed.

If an obvious error is identified after payment but before dispatch, we will contact you and offer the option of:

  • proceeding with the corrected information or price; or
  • cancelling the affected product or order and receiving a refund.

We will not charge an increased amount without your agreement.

SECTION 8 – PROMOTIONS, DISCOUNTS AND GIFT CARDS

Promotions, discount codes, free-shipping offers, sale events and gift cards may be subject to additional conditions displayed with the relevant offer.

Unless the promotional terms state otherwise:

  • discounts cannot be exchanged for cash;
  • discount codes cannot be applied retrospectively;
  • only one discount code may be used per order;
  • discounts may exclude selected products or delivery charges;
  • minimum-spend requirements are calculated after excluded items and other discounts;
  • promotions are available only for the stated period and while relevant stock is available; and
  • promotions may not be combined.

If promotional terms conflict with these Terms, the more specific promotional terms will apply to that promotion.

Promotional restrictions do not limit rights and remedies available under the Australian Consumer Law.

SECTION 9 – SHIPPING AND DELIVERY

Our products may be dispatched from third-party warehouses and fulfilment locations within Australia. Some orders containing multiple products may arrive in separate deliveries.

Shipping methods, estimated delivery timeframes and applicable delivery restrictions are described in our Shipping Policy at https://www.xanaduliving.com.au/policies/shipping-policy.

Delivery dates are estimates unless we have expressly agreed to a guaranteed date in writing.

Delivery may be affected by circumstances such as:

  • carrier delays;
  • severe weather;
  • natural disasters;
  • public holidays;
  • industrial action;
  • road closures;
  • warehouse disruptions;
  • supplier delays;
  • remote-area access; or
  • other circumstances outside our reasonable control.

If we become aware of a material delay, we will make reasonable efforts to provide updated information.

If a product cannot be supplied within the agreed timeframe, or within a reasonable timeframe where no date was agreed, please contact us so that we can investigate and provide an appropriate solution.

Nothing in these Terms removes any right you may have where an order is not delivered within an agreed or reasonable timeframe.

SECTION 10 – DELIVERY ADDRESSES AND ACCESS

You are responsible for providing a complete and accurate delivery address.

Before submitting your order, you should check:

  • the recipient’s name;
  • street number and street name;
  • unit or apartment number;
  • suburb, state and postcode;
  • telephone number; and
  • any relevant access instructions.

We are not responsible for delays or additional costs caused by incorrect or incomplete information supplied by you, although we will make reasonable efforts to assist.

If an order is returned because the address was incorrect, delivery was refused, or reasonable delivery attempts were unsuccessful, we may require payment of the reasonable cost of redelivery.

Any deduction from a refund for customer-caused delivery or return costs will be limited to the reasonable costs actually incurred and will not apply where the return results from our error or a failure to comply with a consumer guarantee.

For furniture, appliances and bulky products, you are responsible for ensuring that the delivery location is reasonably accessible and that the product will fit through doors, lifts, corridors and stairways.

Unless expressly stated, standard delivery does not include unpacking, assembly, installation, removal of packaging or removal of an existing product.

SECTION 11 – AUTHORITY TO LEAVE AND DELIVERY ISSUES

Some carriers may offer authority-to-leave delivery where permitted.

Where you select or accept authority to leave, the carrier may leave the parcel in a location that it reasonably considers safe and consistent with the delivery instructions.

If tracking records an item as delivered but you have not received it, contact us promptly at contact@xanaduliving.com.au. We may ask you to:

  • check around the property;
  • check with household members, neighbours or building management;
  • confirm the delivery address; and
  • provide information reasonably required for a carrier investigation.

We will assist with reasonable delivery investigations and will provide any remedy required by law.

SECTION 12 – TITLE AND RISK

Ownership of a product passes to you once we have received full payment and the product has been delivered to you.

Risk of loss or damage generally passes to you when the product is delivered to the delivery address or collected by you or your authorised representative.

Nothing in this section limits our responsibility for loss or damage caused by our breach, negligence, inadequate packaging, an incorrect delivery or a failure to comply with the Australian Consumer Law.

SECTION 13 – RETURNS AND CHANGE OF MIND

Change-of-mind returns are handled in accordance with our Refund Policy at https://www.xanaduliving.com.au/policies/refund-policy

Eligibility for a voluntary change-of-mind return may depend on conditions such as:

  • requesting the return within the stated return period;
  • obtaining return approval before sending the product;
  • returning the product unused and in resalable condition;
  • retaining original packaging, accessories and manuals; and
  • paying applicable return shipping or reasonable restocking costs where clearly disclosed.

Change-of-mind rights are separate from your rights under the Australian Consumer Law.

Restrictions applying to voluntary change-of-mind returns do not prevent you from seeking a remedy where a product is faulty, unsafe, materially different from its description or otherwise fails to comply with a consumer guarantee.

Do not send a return to a warehouse or supplier address without receiving return approval and instructions from us. Products may be dispatched from and returned to different facilities.

SECTION 14 – AUSTRALIAN CONSUMER LAW

Our products come with consumer guarantees that cannot be excluded under the Australian Consumer Law.

Depending on the circumstances, these guarantees include that goods must:

  • be of acceptable quality;
  • be fit for any disclosed purpose;
  • match their description;
  • match any sample or demonstration model;
  • have clear title;
  • be free from undisclosed securities; and
  • have spare parts and repair facilities reasonably available where applicable.

If a product does not comply with a consumer guarantee, you may be entitled to a repair, replacement, refund, compensation or another remedy.

The appropriate remedy depends on factors including whether the failure is major or minor.

Where there is a major failure, you may be entitled to reject the product and choose a refund or replacement, or retain the product and seek compensation for the reduction in value.

Where there is a minor failure, we may choose to repair the product, replace it or provide another appropriate remedy within a reasonable time.

We may ask for reasonable evidence of purchase and may need a reasonable opportunity to inspect or assess the product.

Your consumer guarantee rights:

  • apply automatically;
  • are not limited to any manufacturer’s warranty period;
  • are not excluded because an item was purchased during a sale or promotion; and
  • are not subject to an arbitrary claim deadline.

Where a product has a problem because of misuse, abnormal use, accidental damage, unauthorised modification, failure to follow instructions or ordinary wear and tear, a consumer guarantee remedy may not apply to that problem.

SECTION 15 – FAULTY, DAMAGED OR INCORRECT PRODUCTS

If you receive a product that is faulty, damaged, unsafe or materially different from what you ordered, contact us as soon as reasonably possible at contact@xanaduliving.com.au.

Please provide:

  • your order number;
  • a description of the issue;
  • clear photographs or video where reasonably possible;
  • photographs of the packaging where transit damage may have occurred; and
  • any other information reasonably required to assess the issue.

Providing photographs or information can help us resolve the matter quickly, but these requirements do not remove your legal rights.

Where a product fails to comply with a consumer guarantee, we will provide a remedy in accordance with the Australian Consumer Law.

Where you are entitled to return a product because it fails to comply with a consumer guarantee, we will cover or reimburse reasonable return costs as required by law.

SECTION 16 – ASSEMBLY, INSTALLATION AND SAFE USE

Some products require assembly, installation, maintenance or safety precautions.

You must follow:

  • the supplied instructions;
  • product warnings;
  • weight, age and usage limits;
  • maintenance requirements; and
  • any applicable electrical, building or safety requirements.

Where professional installation is recommended or legally required, you should use an appropriately qualified and licensed person.

We are not responsible for loss or damage caused by incorrect assembly, unauthorised modification, misuse or installation contrary to the supplied instructions, except to the extent that the loss results from our breach, negligence, misleading information or a failure to comply with law.

You should stop using a product and contact us if you believe it may be unsafe.

SECTION 17 – PRODUCT RECALLS

If a product is subject to a safety recall, we may contact affected customers using the contact information provided with their order.

You agree to follow reasonable recall and safety instructions.

Recall remedies will be provided in accordance with the recall notice, applicable product safety requirements and the Australian Consumer Law.

SECTION 18 – INTELLECTUAL PROPERTY

Unless otherwise stated, the website and its content are owned by or licensed to Xanadu Living.

This includes our:

  • trading name and logos;
  • website design;
  • written content;
  • graphics;
  • photographs and videos;
  • product collections;
  • downloadable content;
  • promotional material; and
  • selection and arrangement of website content.

The website content is protected by applicable Australian and international intellectual property laws.

You may access and use the website for personal, non-commercial shopping and information purposes.

Without our prior written permission, you must not:

  • reproduce or republish substantial website content;
  • commercially exploit our content;
  • modify or create derivative works from our content;
  • use our branding in a misleading manner;
  • remove copyright or ownership notices;
  • systematically extract product or pricing data; or
  • represent that you are affiliated with or endorsed by Xanadu Living.

Third-party names, logos, trademarks and product content remain the property of their respective owners.

SECTION 19 – REVIEWS, FEEDBACK AND USER CONTENT

You may be able to submit reviews, photographs, comments, feedback or other content.

You retain ownership of content you submit. By submitting it, you grant us a non-exclusive, worldwide, royalty-free licence to store, reproduce, display, publish and promote that content in connection with our business and Services.

This licence includes permission to resize or format submitted content and to make minor edits for spelling, clarity or length, provided that we do not materially misrepresent your views.

You represent that:

  • you have the right to submit the content;
  • the content reflects your genuine experience or opinion;
  • the content is not false or misleading;
  • any incentive or commercial relationship has been appropriately disclosed;
  • the content does not infringe another person’s rights; and
  • the content does not contain unlawful, defamatory, abusive, obscene or malicious material.

We may moderate or remove content that reasonably appears to breach these Terms or applicable law. We are not required to publish every submission.

SECTION 20 – THIRD-PARTY TOOLS AND SERVICES

The Services may include access to tools, applications, integrations or services operated by third parties.

These may include payment processors, review platforms, delivery tracking systems, social media services, analytics providers and customer-support tools.

Third-party services are operated under their own terms and privacy policies. We do not control their independent systems, policies or availability.

To the extent permitted by law, we are not responsible for an issue caused solely by a third-party service that is outside our reasonable control.

This does not limit our responsibility for the products we sell or obligations that cannot lawfully be excluded.

SECTION 21 – THIRD-PARTY LINKS

The website may contain links to third-party websites.

These links are provided for convenience and do not necessarily indicate that we endorse or control the third-party website, its content or its products.

You should review the terms, privacy policy and other policies of a third-party website before providing information or entering into a transaction with that third party.

We are not responsible for transactions entered into directly between you and an independent third party.

SECTION 22 – RELATIONSHIP WITH SHOPIFY

Our store is hosted by Shopify, which provides the ecommerce platform used to operate the website.

Products purchased through the Xanadu Living store are sold by Xanadu Living, not Shopify.

Xanadu Living is responsible for:

  • the products offered for sale;
  • product information and pricing;
  • accepting and fulfilling orders;
  • customer service;
  • returns and refunds; and
  • complying with applicable consumer laws.

Shopify may process information and provide technical or payment-related services in accordance with its own terms and privacy practices.

Nothing in this section limits any right you have against Xanadu Living under the Australian Consumer Law or another applicable law.

SECTION 23 – PRIVACY

We handle personal information in accordance with our Privacy Policy at https://www.xanaduliving.com.au/policies/privacy-policy

Because our store is hosted by Shopify, information submitted through the Services may be processed by Shopify and other service providers that assist with payments, order fulfilment, delivery, marketing, analytics, fraud prevention and customer support.

Some service providers may process or store information outside Australia.

  • the personal information we collect;
  • how we use and disclose that information;
  • cookies and online tracking;
  • overseas disclosures;
  • direct marketing;
  • access and correction requests;
  • privacy complaints; and

SECTION 24 – PROHIBITED USES

You must not use the Services to:

  • breach any applicable law or regulation;
  • commit or facilitate fraud;

Subject to those rights and to the extent permitted by law, we are not liable for indirect or consequential loss arising solely from:

  • your failure to follow product instructions or warnings;
  • unauthorised modification of a product;
  • inaccurate information supplied by you;
  • unauthorised access resulting from your failure to protect account credentials;
  • an independent third-party website or service; or
  • events outside our reasonable control.

This limitation does not apply to loss that was reasonably foreseeable and caused by our breach, negligence or failure to comply with a consumer guarantee.

SECTION 28 – INDEMNITY

To the extent permitted by law, you agree to indemnify Xanadu Living against a third-party claim arising directly from:

  • your deliberate unlawful use of the Services;
  • content you submit that infringes another person’s rights;
  • fraud committed through your account; or
  • your material breach of these Terms.

Your responsibility will be reduced to the extent that a claim was caused or contributed to by our breach, negligence or unlawful conduct.

Nothing in this section requires you to indemnify us for conduct for which it would be unfair or unlawful to require an indemnity.

SECTION 29 – SUSPENSION AND TERMINATION

We may suspend or terminate your access to the Services where we reasonably believe that:

  • you have materially breached these Terms;
  • your account is being used fraudulently or unlawfully;
  • your activity threatens the security or operation of the Services; or
  • suspension is required by law or a payment provider.

Where reasonably possible, we will provide notice and an opportunity to address the issue.

Termination of website access does not affect:

  • an accepted order;
  • payment obligations already incurred;
  • accrued rights and remedies; or
  • provisions that are intended to continue after termination.

SECTION 30 – DISPUTE RESOLUTION

Please provide your order number and enough information for us to investigate the issue.

We will make a genuine effort to resolve the matter directly and within a reasonable timeframe.

If a dispute cannot be resolved, you may have the right to contact the consumer affairs or fair-trading body in your state or territory, lodge a payment dispute where appropriate, or pursue another remedy available under law.

Nothing in this section prevents either party from seeking urgent relief or exercising a legal right.

SECTION 31 – SEVERABILITY

If a provision of these Terms is found to be invalid, unlawful or unenforceable, it will be interpreted or limited to the minimum extent necessary.

If it cannot be validly interpreted or limited, the affected portion will be severed.

The remaining provisions will continue to operate.

SECTION 32 – WAIVER

A failure or delay by either party to exercise a right under these Terms does not waive that right.

A waiver is effective only where it is clearly communicated and applies only to the specific circumstance for which it is given.

SECTION 33 – ENTIRE AGREEMENT

These Terms, together with the policies and any additional terms presented to you before purchase, form the agreement governing your use of the Services and orders placed through the website.

If there is an inconsistency:

  • specific product or promotional terms will apply to that product or promotion;
  • an expressly agreed written term will apply to the relevant transaction; and
  • mandatory rights under applicable law will prevail over any inconsistent term.

SECTION 34 – ASSIGNMENT

You may not transfer your rights or obligations under an accepted order to another person without our consent, which will not be unreasonably withheld.

We may transfer our rights and obligations as part of a legitimate sale, transfer or restructure of the business, provided that doing so does not materially reduce your rights in relation to an accepted order.

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the courts and tribunals having jurisdiction in Victoria.

However, this section does not prevent you from relying on a mandatory consumer protection or bringing a claim in another jurisdiction where you are legally entitled to do so.

SECTION 36 – CHANGES TO THESE TERMS

We may update these Terms to reflect changes to:

  • our Services;
  • our business practices;
  • technology;
  • payment or delivery arrangements; or
  • legal and regulatory requirements.

The latest version will be published on this page with an updated date.

Changes will apply to future use of the Services and orders placed after the updated Terms take effect.

An order already accepted will remain subject to the terms that applied when it was accepted, unless:

  • the change is required by law;
  • the change benefits you; or
  • you agree to the change.

SECTION 37 – HEADINGS AND INTERPRETATION

Headings are included for convenience and do not limit the meaning of these Terms.

Words such as “including” and “includes” are not words of limitation.

A reference to a law includes amendments, replacements and regulations made under that law.

Products may be dispatched from third-party warehouses, including facilities in Moorabbin, Victoria, and other Australian locations.

Do not send returns to a warehouse or supplier address without first receiving return approval and instructions from Xanadu Living.
